Welcome to Betterly! These Terms and Conditions ("Terms") govern your access to and use of Betterly's mobile applications, websites, and services (collectively, the "Services"). Please read these Terms carefully before using our Services.

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services. We reserve the right to modify these Terms at any time, and we will notify you of significant changes. Your continued use of the Services after changes constitutes acceptance of the revised Terms.

5. User Content

By providing User Content, you grant Betterly a worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and improving the Services.

You represent that you have all necessary rights to your User Content and that it does not violate any third-party rights or applicable laws. We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable.

6. Intellectual Property

The Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, software, and code) are owned by Betterly, its licensors, or other providers and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the Services without our prior written consent.

7. Payments and Subscriptions

Some features of the Services may require payment. All fees are quoted in the applicable currency and are non-refundable except as required by law. We may change our fees upon reasonable notice. You are responsible for all applicable taxes.

For subscription services, your subscription will automatically renew unless you cancel it before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us.

8. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. BETTERLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BETTERLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall Betterly's total liability to you for all claims exceed the amount you paid to Betterly, if any, during the twelve (12) months immediately preceding the event giving rise to liability, or one hundred dollars ($100), whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Betterly and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your User Content, or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Betterly is established, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration or in the competent courts of the applicable jurisdiction.

13. Third-Party Links and Services

The Services may contain links to third-party websites or services that are not owned or controlled by Betterly. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Betterly shall not be responsible or liable for any damage or loss caused by your use of any such content, goods, or services.

14. Changes to Services

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
